Welcome to Toobeh. These Terms and Conditions outline the rules, guidelines, and agreements for working with us. By accessing our website, requesting a consultation, or engaging our agency for digital marketing, web design, or SEO services, you agree to be bound by the terms outlined below.

Please read them carefully. We have kept the language as straightforward as possible to ensure absolute clarity on how we collaborate.

1. Services Provided

Toobeh is a full-service digital growth agency. We specialize in delivering professional web design, comprehensive website audits, high-intent SEO keyword strategies, and digital content management.

The specific scope of work, timelines, deliverables, and fees for any project will be clearly detailed in a separate Statement of Work (SOW) or project proposal provided to you before any work begins. If a service is not explicitly listed in the agreed-upon SOW, it is considered out of scope and may require a separate agreement or additional fees.

2. Client Responsibilities and Collaboration

A successful digital campaign requires teamwork. To deliver the best possible results, we require your timely cooperation. As a client, you agree to:

  • Provide prompt feedback and approvals on design drafts, content, and strategic proposals.
  • Supply all necessary text, images, brand guidelines, and other assets required for the project.
  • Grant timely access to required platforms, which may include your website’s CMS (such as WordPress), hosting environment, Google Search Console, or analytics accounts.

Delays in providing assets, access, or feedback may result in corresponding delays to the project timeline.

3. Financial Terms and Payments

  • Invoicing: We keep our payment structure simple by billing strictly on a monthly basis. Your project kicks off as soon as your first monthly payment is made. All services, including web design, development, SEO, and digital management, are billed every monthly. Your specific monthly rate and ongoing payment schedule will be detailed in your customized project proposal.
  • Late Payments: Invoices are due upon receipt unless stated otherwise. We reserve the right to pause work, withhold deliverables, or suspend active campaigns if payments are significantly delayed.
  • Refunds: Due to the custom nature of digital services, time, and strategy invested, all deposits and payments for completed work are refundable within the first 15-days of signing period. Once, that period has been passed, half of the payment would be refunded. After completing a month payment is non-refundable.

4. Revisions and Scope Creep

We want you to be thrilled with the final product. Web design and content creation projects include a specified number of revision rounds, which will be outlined in your proposal.

  • A “revision” constitutes minor adjustments to the provided draft (e.g., color tweaks, text adjustments, or layout refinements).
  • Requests that fundamentally change the initial project scope, design structure, or strategy after initial approval are considered “scope creep” and will be billed at an additional hourly rate or quoted as a new project.

5. Third-Party Platforms and Tools

In building and optimizing your digital presence, we frequently utilize industry-standard third-party tools, plugins, and platforms (such as Elementor, specialized SEO software, and various hosting providers).

  • You agree to abide by the Terms of Service of any third-party platforms integrated into your project.
  • Toobeh is not liable for any issues, downtime, data breaches, or changes in service terms caused directly by these third-party entities.
  • Ongoing licensing fees for premium plugins, themes, or software required for your website are your responsibility unless explicitly included in our ongoing management retainers.

6. Intellectual Property Rights

  • Pre-Launch: Toobeh retains all intellectual property rights to preliminary designs, drafts, and concepts that are not ultimately selected or launched.
  • Post-Launch: Upon receipt of full and final payment, the intellectual property rights for the finalized website design, customized code, and published SEO content are transferred to you.
  • Portfolio Rights: We are proud of the work we do. We reserve the right to showcase your completed project, website screenshots, and performance metrics (excluding confidential financial data) in our agency portfolio, case studies, and marketing materials.

7. SEO and Performance Disclaimer

While we utilize proven, data-driven strategies for website audits, content creation, and search engine optimization, we cannot control the algorithms of third-party search engines like Google.

Therefore, Toobeh cannot guarantee specific search engine rankings, exact traffic volumes, or immediate financial returns. SEO is a long-term strategy, and search rankings naturally fluctuate.

8. Termination of Services

Either party may terminate the working relationship with a written notice of 30 days.

  • If you choose to terminate a project early, you will be invoiced for all work completed up to the date of cancellation.
  • Upon termination and settlement of outstanding invoices, we will hand over all administrative access, completed assets, and login credentials that belong to you.

9. Limitation of Liability

To the maximum extent permitted by law, Toobeh and its team members shall not be held liable for any indirect, incidental, or consequential damages, including loss of profits, data, or business opportunities, arising from the use of our services, website downtime, or third-party platform failures. Our total liability in any specific claim will not exceed the total amount paid by you to Toobeh for the specific service in question.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the applicable laws of the jurisdiction in which your business operates, as defined in your primary service contract. Any disputes arising from these terms will be handled in the appropriate corresponding courts.
